1. Acceptance of Terms
By accessing or using the services provided by BizMate ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.
2. Service Description
BizMate provides AI-powered business automation solutions, including but not limited to WhatsApp chatbot integrations, custom software development, and ERP system implementations.
3. Subscription and Billing Terms
- Subscription services (e.g., hosted WhatsApp bots) are billed on a recurring basis as outlined in your specific service agreement.
- Custom development projects are billed according to milestones defined in the project proposal.
- All prices are stated in Sri Lankan Rupees (LKR) unless otherwise negotiated.
- Failure to pay may result in the suspension or termination of your services.
4. Acceptable Use Policy
You agree not to use our services to:
- Violate any local, national, or international laws, including Meta's WhatsApp Commerce and Business Policies.
- Send spam, unsolicited messages, or unauthorized advertisements.
- Transmit malicious code, viruses, or harmful data.
- Engage in any activity that disrupts or interferes with our infrastructure.
5. Intellectual Property
Unless otherwise stated in a custom development contract, BizMate retains all intellectual property rights to the underlying software, platforms, AI models, and codebases used to provide our services. Clients retain ownership of their proprietary business data and content processed through our systems.
6. Limitation of Liability
To the maximum extent permitted by law, BizMate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of your use or inability to use our services. Our services rely on third-party APIs (like Meta Cloud API and OpenAI); we are not responsible for outages or policy changes enforced by these third parties.
7. Termination
We reserve the right to suspend or terminate your access to our services at any time, with or without notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, without regard to its conflict of law provisions.
